Port of Loading & Destination: 8. Marks & Nos: 9. Late Delivery & Penalty: 10. Insurance: To be covered by the Sellers. Cover 110% of the invoice value against all risks. 11. Certificate of Quality: The Seller shall undertake guarantee service for one year upon the delivery date of sold goods under this contract. During the guarantee period, in case that the sold goods are damaged due to non-quality factors, the Seller shall be responsible for repairing but the Buyer shall pay for all the related service cost occurs. 12. Documents to be presented by the seller. 1) Commercial invoice in triplicate signed. 2) A full set of clean Air Waybill. 3) Quality certificate in triplicate issued by the manufacturers. 4) Packing list in triplicate signed. 5) Insurance police in duplicate (one original and one copy). 6) Declaration of no wood packing materials in duplicate signed. 13. Force Majeure: ln case of force majeure, the Seller shall not be held responsible for delay in delivery or non-delivery of the goods but shall immediately notify the Buyers by cable or fax and deliver to the Buyers by 1 registered mail a certificate issued by government authorities or Chamber or Commerce as evidence thereof. lf the shipment is delayed over one month as the consequence of the force majeure, the Buyers shall have the right to cancel this contract. Seller’s inability in obtaining an export license shall not be considered as force majeure. 14. Arbitration: All disputes in connection with this contract or the execution thereof shall be settled by friendly negotiation. lf no settlement can be reached ,the case in dispute shall then be submitted to the lnternational Chamber of Commerce. The decision shall be accepted as final and binding upon both parties. The fees for arbitration shall be born by the losing party unless otherwise agreed or awarded. 15. This contract is made in four original copies in Chinese/English and becomes valid after signature, two copies to be each party in witness thereof.
